1. General

SaskEnergy’s supply chains play an important role in ensuring operational integrity, safeguarding the reliability of our facilities, and helping maintain affordable natural gas for our customers.

The Suppliers Code of Conduct (“Code”) outlines the expectations of SaskEnergy Incorporated and its subsidiaries (“SaskEnergy”) regarding the practices of its suppliers and their subcontractors, including their subsidiary and controlled and affiliated entities (“Suppliers”). 

The Code aims to set both minimum expectations as well as aspirational targets (encouraged behaviors) for SaskEnergy Suppliers. By adopting the Code, SaskEnergy strives to promote sustainable development and minimize legal, financial, and reputational risks. In all activities, Suppliers must conduct business in full compliance with the laws, rules, and regulations of the countries and jurisdictions that are applicable to them.

2. Applicability

The Code applies to Suppliers and the expectations set forth in the Code do not replace requirements specified in contracts between Suppliers and SaskEnergy. Suppliers are expected to make every effort to apply the Code in all aspects of their business and within their own respective supply chains.

3. Compliance Monitoring and Reporting

Suppliers are expected to monitor compliance with the Code and promptly notify SaskEnergy if non-compliance is identified at any point, and to take steps to promptly correct the non-compliance. SaskEnergy reserves the right to monitor compliance with the Code. Failure to comply with the requirements of the Code could result in termination of any applicable contracts and impact future evaluations of the Supplier.

Suppliers who have knowledge of an actual or potential breach of the Code, shall report it through SaskEnergy’s Supplier Management Department

4. Supplier Conduct Standards

Suppliers are expected to:

  1. Avoid unethical actions: Suppliers are to act with honesty, transparency, integrity and fairness with SaskEnergy. This includes compliance with anti-corruption laws, avoiding improper advantages, and ensuring fair competition. Suppliers are responsible for reporting incidents of actual or potential unethical conduct immediately such as violations of the Code, conflicts of interest, violations of applicable laws, and violations of SaskEnergy policies or procedures.
  2. Act in accordance with the law: Suppliers are not to engage in any illegal business practices and shall comply with all statutes, codes, ordinances, decrees, rules, regulations, municipal bylaws, orders, decisions, rulings or awards, policies, voluntary restraints, guidelines, or any provisions of the foregoing, including general principles of common law and equity, binding on or affecting the party referred to in the context of which such word is used (“Laws”) that apply including, without limitation, those relating to bribery, corruption and prohibited business practice, health and safety, fundamental labour rights and privacy.
  3. Fulfill all contractual obligations in a professional and competent manner: Suppliers who respond to a SaskEnergy procurement event, enters into a contract with SaskEnergy, or provide goods or services to SaskEnergy are expected to fulfill all contractual commitments, with respect to price, quality, and achievement of performance schedules and completion deadlines.

5. Labour

Suppliers are expected to comply with and conduct themselves in accordance with all human rights and labour legislation including The Saskatchewan Human Rights Code (or local equivalent), The Fighting Against Forced Labour and Child Labour in Supply Chains Act, and any other applicable occupational health and safety legislation. Suppliers must provide a workplace free of unlawful discrimination and harassment, avoid the use of forced or child labour, and demonstrate respect and professionalism in the workplace. Suppliers shall maintain policies and procedures to identify, prevent, and mitigate risks of forced and child labour in their operations and supply chains, and shall provide relevant documentation to SaskEnergy upon request.

By agreeing to this Supplier Code of Conduct, Suppliers are certifying that they are aware of and conduct business in compliance with The Fighting Against Forced Labour and Child Labour in Supply Chains Act and they will notify SaskEnergy of any actual or suspected instances of forced or child labour within the supply chain relevant to SaskEnergy contracts. 

6. Health & Safety

Suppliers are expected to comply with international, regional, and national health and safety standards applicable to their business activities. Employees have a right to be informed about workplace hazards and legislated worker rights. Suppliers are required to have a system to investigate, track, and manage any health or safety incidents. Workers must receive training prior to employment and then on a regular basis, regarding occupational health and safety policies and practices. Suppliers are required to have a system to investigate, track, and manage any health or safety incidents. All incidents, potential or actualized, related to work on behalf of SaskEnergy must be reported to SaskEnergy in accordance with contractual requirements.

7. Confidentiality and Data Protection

Suppliers must protect personal data and SaskEnergy’s confidential information in accordance with the SaskEnergy Privacy Policy.

8. Land Rights

Suppliers are expected to respect and uphold the land rights of individuals, Indigenous peoples, and local communities when completing work on behalf of SaskEnergy. SaskEnergy maintains procedures for obtaining the necessary permission to use, cross or place facilities on or adjacent to public or private rights-of-way, and Suppliers must complete all required documentation and authorizations prior to beginning work.

9. Environment

Suppliers are expected to fully comply with all applicable statutes, regulations, guidelines, and codes of practices relating to the protection and conservation of the environment including plant life, wildlife, wetlands, native prairies and species at risk. Suppliers are to work to minimize their environmental footprint by developing and implementing environmentally safe work practices and ensuring workers receive appropriate training. Hazardous substances must be used, handled, stored, transported, and disposed of in a safe manner and Suppliers are encouraged to actively measure, manage, and disclose environmental impacts of their activities.
